Terms of Service & Usage Agreement

Welcome to Utility AI. These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between you ("User" or "Customer") and Utility AI governing your access to and use of our web platform, APIs, account wallet features, and AI services.

1. Acceptance of Terms & Legal Binding

By registering an account, depositing funds into your account wallet, purchasing a subscription plan, or accessing any part of the service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of this Agreement, you must cease using the platform immediately.

2. Account Registration & User Obligations

  • You must be at least 18 years of age or possess legal capacity under applicable law to enter into this contract.
  • You are strictly responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Account sharing, unauthorized reselling, API abuse, and reverse-engineering platform infrastructure are strictly prohibited.

3. Financial Terms, Wallet Deposits & STRICT NO-REFUND POLICY

To support continuous high-performance AI infrastructure and compute allocation, Utility AI enforces the following non-negotiable financial terms:

  • Account Wallet Balance: Funds deposited into your Utility AI account wallet serve as prepaid credit for platform features and subscription billings.
  • STRICT NO-REFUND POLICY: ALL PAYMENTS, WALLET BALANCE DEPOSITS, SUBSCRIPTION PLAN PURCHASES, UPGRADES, AND RENEWALS ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES. Users are strongly advised to evaluate plan options carefully prior to completing any deposit or transaction.
  • Non-Redeemable & Non-Transferable: Wallet balances hold no monetary cash value outside the platform, cannot be withdrawn to bank accounts, and cannot be transferred to any other user account.
  • Disclaimer of Refund Liability: Utility AI bears no obligation to issue refunds for changed user preferences, unused subscription periods, account suspensions resulting from terms violations, or client-side connection failures.

4. Acceptable Use Policy for AI Services

When utilizing Utility AI models and generation tools, you agree to comply with the following operational standards:

  • AI-generated outputs are provided for assistance and reference purposes. You bear sole responsibility for validating output accuracy prior to commercial or personal implementation.
  • You are strictly prohibited from submitting prompts or generating content that is illegal, defamatory, obscene, hate-speech promoting, or infringing upon third-party intellectual property rights.
  • Automated scraping, Denial of Service (DDoS) attacks, or malicious bot interactions are strictly prohibited.

5. Intellectual Property Rights

All proprietary algorithms, source code, user interfaces, trademarks, and platform assets remain the exclusive intellectual property of Utility AI. Users retain ownership of their lawful input prompts and receive a non-exclusive license to utilize generated AI outputs for lawful business or personal applications.

6. Limitation of Liability & Warranty Disclaimer

Utility AI services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Utility AI disclaims all warranties, express or implied, and shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from service interruptions or data loss.

7. Account Suspension & Termination

Utility AI reserves the right to suspend or permanently terminate your account without prior notice if you violate these Terms or engage in fraudulent activities. Upon termination for cause, any remaining wallet balance and active subscription entitlements shall be immediately forfeited without compensation.

8. Governing Law & Amendments

Utility AI reserves the right to modify these Terms at any time. Updated versions become effective immediately upon posting to the website. This Agreement shall be governed by and construed in accordance with applicable governing laws.
